These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and BDK Studios LLC ("BDK Studios," "we," "us," or "our"). By accessing or using our website at bdkstudios.com (the "Site"), our free tools, our chatbot, or engaging our consulting services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Site or our services.
BDK Studios LLC provides AI integration consulting, custom dashboard development, business automation, AI agent development, and related technology solutions ("Consulting Services"). All Consulting Services are provided under separate project agreements, statements of work, or service contracts that govern the specific terms of each engagement.
We also provide free interactive tools on the Site, including but not limited to the AI Readiness Assessment, ROI Calculator, Review Response Generator, and Website Grader ("Free Tools"), as well as an AI powered chatbot for informational purposes.
You must be at least 18 years of age and have the legal authority to enter into these Terms. By using the Site, you represent and warrant that you meet these requirements. If you are using the Site on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.
4.1 As Is Basis. Our Free Tools and chatbot are provided "as is" and "as available" for informational and educational purposes only. Results generated by these tools are estimates, suggestions, or general guidance and should not be construed as professional advice, guarantees, or promises of specific outcomes.
4.2 AI Generated Content. Certain features of the Site, including the Review Response Generator and chatbot, use artificial intelligence (Anthropic Claude) to generate responses. AI generated content may contain inaccuracies or errors. You are solely responsible for reviewing, editing, and verifying any AI generated content before use. BDK Studios does not guarantee the accuracy, completeness, or suitability of AI generated outputs.
4.3 Rate Limits. We reserve the right to impose usage limits on Free Tools and the chatbot to prevent abuse and ensure fair access for all users.
4.4 No Professional Advice. Nothing provided through our Free Tools, chatbot, or Site content constitutes legal, financial, tax, medical, or other professional advice. Always consult qualified professionals for decisions specific to your business.
5.1 Project Agreements. All Consulting Services are governed by separate project agreements or statements of work executed between BDK Studios and the client. In the event of any conflict between these Terms and a signed project agreement, the project agreement shall prevail.
5.2 Payment. Payment terms, including project fees, monthly retainers, and payment schedules, are specified in each project agreement. Unless otherwise stated, invoices are due upon receipt. Late payments may incur a fee of 1.5% per month on the outstanding balance or the maximum rate permitted by law, whichever is lower.
5.3 Refunds. Due to the custom nature of our services, refunds are handled on a case by case basis as outlined in each project agreement. Discovery calls are free and carry no obligation.
6.1 Client Work Product. Unless otherwise specified in a project agreement, all custom code, dashboards, automations, and deliverables created for a client ("Work Product") are owned by the client upon full payment of all associated fees. BDK Studios retains no ownership interest in client Work Product after full payment.
6.2 Portfolio Rights. BDK Studios retains the right to display and reference completed work in our portfolio, case studies, and marketing materials, unless the client explicitly requests otherwise in writing.
6.3 Pre Existing Materials. BDK Studios retains all rights to pre existing frameworks, libraries, tools, methodologies, and proprietary systems used in the delivery of services. Clients receive a perpetual, non exclusive license to use these materials as part of their delivered solution.
6.4 Site Content. All content on the Site, including text, graphics, logos, images, software, and design elements, is the property of BDK Studios LLC and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any Site content without our prior written consent.

Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the course of a consulting engagement. This includes, but is not limited to, business strategies, customer data, technical architecture, financial information, and trade secrets. Confidentiality obligations survive the termination of any project agreement for a period of two (2) years unless otherwise specified.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BDK STUDIOS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, OUR TOOLS, OUR CHATBOT, OR OUR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO BDK STUDIOS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
THE SITE, FREE TOOLS, CHATBOT, AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON INFRINGEMENT, OR ACCURACY. BDK STUDIOS DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
You agree to indemnify, defend, and hold harmless BDK Studios LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site, your violation of these Terms, your use of AI generated content, or your infringement of any third party rights.
We reserve the right to suspend or terminate your access to the Site, Free Tools, or chatbot at any time, with or without cause and with or without notice, if we reasonably believe you have violated these Terms. Upon termination, your right to use the Site ceases immediately. Sections of these Terms that by their nature should survive termination (including but not limited to Intellectual Property, Limitation of Liability, Indemnification, and Governing Law) shall survive.
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or your use of the Site shall first be resolved through good faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in California. Each party shall bear its own costs, and the arbitrator's decision shall be final and binding.
We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page. Your continued use of the Site after any modifications constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
These Terms, together with our Privacy Policy and any applicable project agreements, constitute the entire agreement between you and BDK Studios LLC regarding your use of the Site and supersede all prior agreements, understandings, and communications, whether written or oral.
